GM and LG Energy’s LMR Battery Shift: Is Cheaper EV Range Closer?

A battery plant already making cells for energy storage is getting ready for a very different job. That caught my eye.

Ultium Cells, the GM–LG Energy Solution joint venture, says it will upgrade its Spring Hill, Tennessee, facility for lithium-manganese-rich (LMR) prismatic cells intended for future GM electric vehicles. The company sees a way to get more energy from an affordable battery chemistry.

There is an appealing headline here: longer-range EVs without the price tag of a conventional high-nickel battery. But the factory change and the vehicle economics are two separate tests.

Can this chemistry pass both?

Key Takeaways

  • On its September 28, 2026-dated announcement, the GM–LG Energy joint venture said it plans to modify Spring Hill for LMR prismatic EV cells. The work is expected to finish in 2028; a specific start date for the new line was not disclosed.
  • The site has already begun making LFP cells for energy-storage systems. That existing program and the planned LMR EV program serve different markets.
  • Ultium describes LMR's potential as 33% higher energy density than LFP at comparable cost. That is a company technology claim, not a verified 33% gain in vehicle driving range or profit.
  • The company's projected $1 billion by 2030 covers the two cell programs and facility improvements combined. It is not a disclosed LMR-only bill.

What is actually changing in Tennessee?

The new Ultium announcement puts a physical address on a battery plan GM and LG Energy had discussed before. Spring Hill is already producing LFP cells for LG Energy's energy-storage customers, a program that began in June. The joint venture now plans to add equipment and processes for LMR prismatic cells that would go into future GM EVs. It expects modifications to begin later this year and finish in 2028, and projects 500 additional jobs.

One detail matters more than the ribbon-cutting picture: finishing a plant modification does not itself mean validated cells are shipping into profitable vehicles. A May 2025 GM–LG announcement targeted U.S. commercial LMR production by 2028 and pre-production at an LG Energy facility by late 2027. The new site announcement does not disclose a specific start date for Spring Hill's LMR line. The sequence to watch is equipment installation, cell validation, production yield and then named vehicle use.

Why mix manganese, range and cost in the same pitch?

LMR refers to a lithium-manganese-rich cathode design. GM says using more manganese can reduce reliance on costlier cathode materials while offering more energy than widely used LFP cells. In the partners' 2025 description, their developed LMR prismatic cell could deliver 33% higher energy density than their LFP comparator at a comparable cost. That is a promising cell-level comparison. It is not a promise that a truck will travel 33% farther, because pack design, vehicle weight, aerodynamics and efficiency also influence range.

That is why the chemistry choice is interesting for GM's larger EVs. High-nickel cells can deliver premium range but carry a different cost profile; LFP is attractive on cost but usually needs more space for the same energy. If LMR can sit between them at scale, GM could have another way to balance range and vehicle price. The words “if” and “at scale” are doing real work here: durability, manufacturing yield and pack integration still have to survive mass production.

Related Companies

General Motors (GM, NYSE) is a direct joint-venture partner and the prospective user of LMR cells. The possible business path runs from battery investment to validated pack cost and range, then to what GM can charge for an EV and what margin remains after manufacturing and warranty costs. GM has described future trucks and full-size SUVs as intended applications, but this announcement is not a named vehicle launch or a measured margin improvement.

LG Energy Solution (373220, KRX) is the other direct partner and a cell manufacturer. For it, the business test is different: can one U.S. site use equipment and labor efficiently across the existing ESS program and future EV cells, while achieving acceptable yields? Its July 2026 results already identify ESS production at the Tennessee JV as part of its North American strategy. The proposed LMR upgrade may diversify the site's future work, but it does not establish near-term LMR sales or margins.

The announcement does not name a new cathode-material, mining or equipment supplier for this upgrade. Calling an unmentioned company a winner from this specific project would be speculation.

Investment Watchpoints

I would watch four milestones: whether the factory modifications stay on schedule; whether GM and LG report successful cell validation and scalable yields; whether a named GM vehicle adopts the cells; and whether later disclosures show lower pack costs or better EV economics. On the LG side, the site’s ESS-versus-EV mix and utilization are just as important as an eye-catching energy-density percentage.

The countercase is straightforward. EV demand can shift while a plant is being converted, manganese-rich cells can disappoint on cost or durability in volume, and a better cell does not automatically create a profitable vehicle. The approximately $1 billion figure also spans LFP, LMR and facility work through 2030, so it cannot be assigned wholly to one chemistry. This is a way to understand the two companies' business exposure, not a recommendation to buy or sell either stock.

Appendix. LFP, LMR and prismatic are not the same kind of label

LFP and LMR describe different cathode chemistries. “Prismatic” describes a rigid, rectangular cell shape. A chemistry affects materials and energy characteristics; a cell format affects how the cell is assembled and packaged into a battery pack. Spring Hill's current LFP energy-storage program and proposed LMR prismatic EV program therefore differ in both intended use and cell design. The terms are useful only when kept separate.

GPT-6.1 Sol vs GPT-6 Sol: Better Agents, Same API Price?

A new AI model usually invites one question: how much smarter is it? GPT-6.1 Sol makes me ask a slightly less glamorous one—how much does it cost to finish a job?

OpenAI released GPT-6 Sol on September 22 and introduced GPT-6.1 Sol a week later. That is a fast upgrade cycle even by AI standards. The new name does not mean that GPT-6 Astra or Luna has been replaced.

OpenAI says the new Sol is stronger at agentic coding, computer use, and professional work. Yet its headline API input and output prices are unchanged from GPT-6 Sol. Cached input is the exception.

If one model can complete more tasks at the same per-token rate, the interesting story may be less about a chatbot leaderboard and more about the economics of cloud platforms, enterprise agents, and the hardware underneath them.

Previous Tech(EN) post: AT&T’s $3 Billion Corning Fiber Deal: Who Earns What?

Key Takeaways

  • The September 29 release is GPT-6.1 Sol, an upgrade to GPT-6 Sol—not an across-the-board renaming of the GPT-6 family. OpenAI describes better performance in coding agents, computer use, and professional workflows.
  • On OpenAI's standard API price list for short-context requests, both Sol models cost $2 per million uncached input tokens and $10 per million output tokens. Cached input changes from $0.20 to $0.10 per million.
  • Both list a 1.05-million-token context window and a 128,000-token maximum output. GPT-6.1 Sol removes the none reasoning setting; tool-using applications should use the Responses API.
  • AWS announced GPT-6.1 Sol's general availability on Bedrock on launch day. That is a verified distribution channel, not evidence that a new model has already generated measurable revenue for Amazon, Microsoft, or NVIDIA.
OpenAI API price comparison per million tokens: GPT-6 Sol and GPT-6.1 Sol both cost $2 standard input and $10 output; cached input falls from $0.20 to $0.10
OpenAI standard API rates, short context, per million tokens. A lower cached-input rate is not a 50% cut to a full agent's bill.

Original graphic based on OpenAI's GPT-6 Sol and GPT-6.1 Sol model pages, checked September 30, 2026.

The price that changed—and the two that did not

It would be easy to describe GPT-6.1 Sol as “Astra-like intelligence for less.” That is how OpenAI positions it against its premium Astra model. But the more useful comparison for an existing customer is with GPT-6 Sol. On that comparison, regular input and output token prices are flat. The directly visible discount is on cached input: 10 cents rather than 20 cents per million tokens.

That difference can matter to an agent repeatedly reading the same instructions, documents, or repository context. It does not mean the whole workload is 50% cheaper. An application still pays for uncached input, generated output, and any relevant tools; cache savings depend on how much of a request actually hits the cache. A pricing decision should be based on a representative workload rather than the biggest percentage in a model announcement.

The second potential saving is harder to price from a catalog. If a stronger model takes fewer wrong turns, retries less often, and needs less human correction, the cost per successful task can fall even at unchanged token rates. In an AWS post citing OpenAI's evaluation, GPT-6.1 Sol beat GPT-6 Sol's best DeepSWE v1.1 score by 6.4 percentage points and matched Astra at roughly one-fifth the cost per task. That is a vendor-reported result on a particular coding benchmark, not a guarantee for every enterprise workflow.

For developers, the migration is more than a model-name swap

Neither context capacity nor maximum output expands in the official model specifications: both Sol versions list 1.05 million tokens of context and 128,000 output tokens. The changes that could break an existing integration are more mundane. GPT-6 Sol allows reasoning effort none; GPT-6.1 Sol starts at low. OpenAI also directs tool-using GPT-6.1 Sol applications to the Responses API, while Chat Completions is supported without tool calls.

That matters because an enterprise agent is not just a model response. It is a chain of retrieval, tools, approvals, retries, and audit logs. A successful upgrade needs to test completed-task quality, latency, safety controls, and full cost under the same workload. The strongest demo is not necessarily the best production deployment.

Outside the API, OpenAI's product guidance says access to GPT-6.1 Sol depends on plan, client, and workspace settings. A model being announced is not the same as every user seeing it in every product on day one.

Related Companies

Amazon (AMZN, Nasdaq) has the clearest launch-day link. AWS says GPT-6.1 Sol is generally available on Bedrock, giving customers an existing enterprise channel for adoption. More production usage could support Bedrock revenue, but neither adoption volumes nor model-specific margins have been disclosed. Better efficiency could even mean fewer billable tokens per task unless broader usage offsets it.

Microsoft (MSFT, Nasdaq) has a different link: its amended OpenAI partnership identifies it as OpenAI's primary cloud partner and describes its nonexclusive model-and-product IP license. Those are real business connections, but I would not turn the release announcement into an unverified GPT-6.1 Sol deployment figure or a Microsoft revenue estimate. The model's confirmed availability and usage within each Microsoft product need their own evidence.

NVIDIA (NVDA, Nasdaq) has a longer-horizon infrastructure connection. Its OpenAI partnership announcement discusses future systems for training and running models. It does not identify an incremental GPU order caused by this week's release. More successful agents might drive more inference demand; improved efficiency might reduce compute used per task. The net hardware effect cannot be read from the model name alone.

Investment Watchpoints

Three numbers would tell us more than launch-day excitement: first, real completion rates and retries versus GPT-6 Sol at similar settings; second, production adoption through channels such as Bedrock and Microsoft's AI platforms; and third, whether that usage shows up in cloud growth, margins, or infrastructure commitments. A benchmark, a product listing, and recognized revenue are three separate milestones.

The counterargument is worth keeping close. If the new model is materially more efficient, customers might consume fewer tokens for the same work. If quality unlocks many new use cases, total usage could still rise. Both outcomes are plausible, and neither is a reason to assign immediate stock gains to every company in the AI supply chain. This is industry analysis, not a buy or sell recommendation.

Appendix. Why cached input deserves its own line

When a developer sends the same prompt prefix or reference material across requests, eligible reused input may be billed at a cached rate. The fraction that is actually cached depends on request design and cache behavior. That is why the new Sol's 50% cached-input rate reduction is useful but cannot be translated into a blanket 50% reduction in an agent's operating cost.

OpenAI API

GPT-6 Sol

Amazon(AMZN·나스닥)은 가장 확인하기 쉬운 경로입니다.

Microsoft(MSFT·나스닥)는 OpenAI의 주요 클라우드 파트너입니다.

NVIDIA(NVDA·나스닥)도 OpenAI 인프라와 연결돼 있습니다.

Appendix.

Appendix.

AT&T’s $3 Billion Corning Fiber Deal: Who Earns What?

The $3 billion figure in the AT&T–Corning announcement stopped me for a moment.

Corning will supply fiber and cable as AT&T extends its U.S. network. It sounds like one big infrastructure win, and for the supplier it may be. But the same dollar figure sits on very different sides of these companies’ books.

Corning sells the materials. AT&T pays to build a network and then needs households and businesses to use it.

So who actually earns money from this deal—and when?

  • AT&T (NYSE: T) and Corning (NYSE: GLW) announced a multiyear fiber-and-cable supply agreement worth more than $3 billion on September 29, 2026.
  • Corning is the supplier. AT&T is the buyer building out its network. The agreement is not $3 billion of immediate profit for either company.
  • The disclosed purpose is broader U.S. fiber access for homes, businesses and communities. The companies cite AI as one source of data demand, but do not describe this as a data-center-only order.
  • AT&T says its existing second-quarter financial outlook and capital allocation plan already reflect this agreement. The headline is not, by itself, a new guidance increase.
Diagram of the more-than-$3-billion multiyear AT&T–Corning fiber agreement: Corning supplies fiber and cable, while AT&T builds network access and seeks subscribers.
One contract, two business models: shipments for Corning and network investment for AT&T. The agreement is not immediate profit.

Original diagram based on the AT&T–Corning joint announcement of September 29, 2026; checked September 30.

One agreement, two very different cash-flow stories

The joint announcement is clear about the basic transaction: Corning supplies fiber and cable; AT&T uses them to extend connectivity. It is tempting to read “more than $3 billion” as an earnings number. It is not. The figure describes the value of a multiyear supply agreement, while actual deliveries, recognized sales, spending and profit unfold over time.

For Corning, the first question is how much product ships and when. Those shipments can feed its optical-communications business, but the announcement does not disclose a quarterly delivery schedule or the margin on this particular contract. For AT&T, purchasing cable is a step in building an asset. The economic return comes later, if enough customers sign up and stay long enough to cover deployment and operating costs. That is the distinction I would keep next to the $3 billion headline.

Does “AI demand” make this a data-center deal?

No—not on the information the companies released. AI appears alongside streaming, gaming, video calls and cloud services as a reason people and businesses need more data capacity. The agreement itself is described as fiber and cable for AT&T’s wider network expansion. It may help carry AI-related traffic, but there is no disclosed split between home broadband, business access and any data-center connection. Calling the whole contract direct AI data-center revenue would go beyond the evidence.

That does not make the story uninteresting. A faster, denser access network can matter even if the applications running over it change. The practical question is whether AT&T can turn the physical reach into paying subscribers and service revenue. The cable matters; the customer relationship determines whether the spending pays off.

Related Companies

Corning (GLW, NYSE) has the direct sales exposure: it is named as the fiber-and-cable supplier. Future Optical Communications results can show whether deliveries and profitability follow the announcement. A multiyear contract is a stronger signal than a vague market forecast, but it still does not tell us how much revenue belongs in the next quarter or how much of it becomes operating profit.

AT&T (T, NYSE) has the buildout and monetization challenge. Its investor materials said the network reached 38.6 million consumer and business fiber locations as of June 30, 2026, with a company goal of more than 60 million by the end of 2030. A location reached is a place that can potentially take service; it is not automatically a paying subscriber. Subscriber additions and cash generation therefore tell a more useful story than route miles or homes passed alone.

There is another easily missed detail: AT&T explicitly says the agreement’s financial impact is already included in its second-quarter outlook. That does not make the contract trivial, but it does mean readers should not mechanically add $3 billion to AT&T’s existing revenue or earnings expectations. AT&T is on the purchasing side of this transaction.

What to Watch in the Next Results

For Corning, I would watch reported Optical Communications sales, order conversion and segment margins. For AT&T, I would compare new fiber locations with subscriber net adds, service revenue, capital investment and free cash flow. Those measures follow the actual sequence: materials arrive, the network is installed, customers connect, and only then can recurring revenue test the economics of the build.

The risks run both ways. Deliveries could occur on a slower timetable than a headline suggests, and Corning has not published the margin on this agreement. AT&T could build faster than customers join, face tougher pricing competition or spend more per connection than expected. The companies’ deployment goals are plans, not guaranteed returns. This is an explanation of the business, not a recommendation to buy or sell either stock.

Appendix. The difference between fiber reach and fiber subscribers

“Locations reached” counts premises where a fiber connection is available or can be offered under the company’s reporting definition. “Subscribers” counts customers who actually take service. The gap between the two is where the carrier’s sales execution, pricing and competition show up. Fiber and cable suppliers benefit when a network is built; carriers need that network to be used profitably.

Appendix. ASIC

Merck’s $2.13B SciBrunch Deal: Why Is the Upfront $400M?

At first glance, Merck’s new cancer-drug deal looks like a $2.13 billion bet. Then you notice the upfront payment: $400 million.

So what does the other $1.73 billion mean? It is not a second check waiting to be cashed. It is potential future money tied to milestones that may or may not happen.

Merck has already closed an exclusive worldwide license for SPR2015, an experimental KRAS G12D drug. But the program is still preclinical, which puts a lot of distance between a promising lab result and a medicine patients can actually use.

That gap—not the headline number alone—is the part worth watching.

Previous Tech(EN) post: Northern Star Rejected Gold Fields’ A$38.7B Proposal—Why Its Value Moved — another look at the difference between a headline transaction value and what it may mean in practice.

Key Takeaways

  • The $2.13 billion figure is the maximum potential total, including a $400 million upfront payment and up to about $1.73 billion in contingent future milestones.
  • Merck & Co. (NYSE: MRK) has exclusive worldwide rights to develop, manufacture and commercialize SPR2015; the transaction is already closed.
  • SPR2015 is an oral, preclinical KRAS G12D (ON) molecular-glue inhibitor. Reported cell and mouse-model activity is not evidence of benefit or safety in people.
  • Merck says the $400 million upfront will be recorded as a third-quarter 2026 pre-tax charge, approximately $0.13 per share.
Original diagram of Merck’s SPR2015 license terms: $400 million upfront plus up to about $1.73 billion in contingent milestones equals $2.13 billion maximum potential value; the candidate remains preclinical with no human data disclosed.
The $2.13 billion headline includes the $400 million upfront payment; the additional potential value depends on future milestones.

Original diagram based on Merck & Co.’s September 28, 2026 press release. Checked September 29, 2026. No endorsement implied.

Why is a $2.13 billion deal starting with $400 million?

Because the two figures describe different things. Merck says SciBrunch will receive $400 million upfront and is eligible for additional payments tied to certain development, commercialization and other milestones. Add those conditional payments together with the upfront and the agreement could reach $2.13 billion in aggregate value.

That leaves roughly $1.73 billion beyond the upfront—but the companies have not disclosed the individual milestone amounts, their timing, or the likelihood of reaching them. So the headline is a ceiling under the announced terms, not cash Merck has already paid, a guaranteed future bill, or a probability-adjusted valuation. The arithmetic is simple; the path to earning those milestones is not.

The agreement has closed, and it gives Merck exclusive global rights to develop, manufacture and commercialize SPR2015. That is a license to pursue the program, not an acquisition of SciBrunch. SciBrunch is privately held, so it is not a listed-stock proxy for the deal.

SPR2015 is still a science bet, not a clinical asset

Merck describes SPR2015 as an investigational oral inhibitor of KRAS G12D in its active, or “ON,” state, using a molecular-glue approach. The company reports activity in KRAS G12D-mutant cell lines and antitumor activity in cell-derived and patient-derived xenograft models. Those findings are preclinical: they come from laboratory and animal models, not from patients.

An AACR abstract authored by SciBrunch reported a 64.7% objective response rate and a 94.1% disease control rate across colorectal-cancer xenograft models. Those percentages describe mouse models, not clinical response rates. They do not tell us whether people can take a useful dose safely, whether tumors will respond, or how durable any response might be.

As of Merck’s September 28 announcement, SPR2015 remained preclinical, and the sources checked disclose no human safety or efficacy data. SciBrunch had previously said it expected to advance the program toward a Phase 1 study by the end of 2026; that was a company expectation in an earlier abstract, not confirmation that a trial has started. There is no evidence here of clinical benefit or regulatory approval.

What Merck gets—and what it has to prove

For Merck & Co. (NYSE: MRK), the direct business path is clear at the first step: the company secures rights to a new oncology program and records the $400 million upfront as a third-quarter pre-tax charge, which Merck estimates at about $0.13 per share. The release confirms those terms; it does not provide a probability-weighted sales forecast or a detailed future R&D budget for SPR2015.

There is a broader pipeline context, too. Merck’s 2025 Form 10-K says Keytruda represented 49% of total 2025 sales and notes that U.S. biosimilar competition could begin in December 2028 after the primary compound patent expires. That helps explain why investors watch oncology pipeline replenishment. It does not make SPR2015 a replacement for Keytruda: the drug is preclinical, and its timing, success and commercial potential remain unknown.

Revolution Medicines (NASDAQ: RVMD) is useful only as an independent view of the crowded KRAS G12D field. It is not part of the Merck–SciBrunch agreement, does not receive any of its payments and is not a confirmed beneficiary. Its separate candidate zoldonrasib has entered Phase 3 studies, according to the company. That difference in disclosed stage is relevant landscape context, but the programs, mechanisms and trial populations are not directly comparable—and their efficacy should not be ranked from separate studies.

What investors can watch next

The next useful signals are not another large headline number. They are confirmation of an IND or first-in-human trial, the timing and design of that study, and eventually human data on dose, safety, target engagement and activity by mutation and tumor type. Any later disclosure of milestone terms, R&D spending or changes to financial guidance would also help clarify the economic commitment.

The counterpoint is worth keeping in view: a large upfront payment can reflect strategic conviction and a desire to secure early access to a promising program. But paying for a license is not the same as validating a drug. The central uncertainty remains whether the preclinical signal can translate into a safe and effective treatment for people.

This is industry and company context, not a recommendation to buy or sell MRK or RVMD shares.

Appendix: What does “KRAS G12D (ON)” mean?

KRAS G12D refers to a specific mutation in the KRAS protein. “ON” describes its active state; Merck identifies SPR2015 as an inhibitor of that active-state target. The label alone does not establish how well the drug works in people or whether it will be approved.

Appendix.

Northern Star Rejected Gold Fields’ A$38.7B Proposal—Why Its Value Moved

The first thing I noticed was how easily this takeover headline could sound like a cash deal: Gold Fields put an A$38.7 billion number on Northern Star, and Northern Star said no.

But A$38.7 billion was not a pile of cash. Most of the proposed consideration was Gold Fields stock, so the headline value moved when Gold Fields’ share price moved.

Northern Star disclosed the approach on September 28. It says it received the proposal on September 14; Gold Fields says it submitted it on September 13. The board unanimously rejected it and said further engagement was not appropriate at that time.

The useful question is not just “How big was the proposal?” It is “What exactly would shareholders have received, and what would they still be exposed to?”

Previous Tech(EN) post: NVIDIA’s $150 Billion Buyback: What an Authorization Actually Means

Key Takeaways

  • Gold Fields’ unsolicited, conditional, non-binding proposal was received on September 14 and unanimously rejected by Northern Star’s board.
  • The default terms were 0.3125 new Gold Fields shares plus A$7.25 cash for each Northern Star share—not an all-cash proposal. A mix-and-match election was subject to scale-backs and a cash cap.
  • The proposal implied A$27.00 per Northern Star share, or A$38.7 billion in equity value, using Gold Fields’ September 11 closing price. Using its September 25 close, the same formula implied A$25.19 per share and A$36.1 billion in equity value.
  • Northern Star said it would not engage further on the proposal at that time. No binding transaction had been announced in the disclosures reviewed through September 29.
Gold Fields’ proposed consideration was 0.3125 GFI shares plus A$7.25 cash per Northern Star share. Its implied value was A$27.00 using the September 11 reference and A$25.19 using the September 25 Gold Fields close; Northern Star had rejected the proposal.
The same proposed share-and-cash formula had different implied values on September 11 and September 25. Northern Star had rejected the proposal; no binding deal existed.

The proposal also allowed a “mix and match” election between cash and shares, subject to scale-backs and a cap on total cash consideration of A$10.4 billion. Northern Star’s filing says roughly 73% of the proposal’s value at the September 11 reference date came from the shares, with about 27% in cash. That makes this a stock-and-cash approach, not a fixed cash price.

Gold Fields’ share price therefore mattered to the amount implied for each Northern Star share. Gold Fields says it submitted the proposal on September 13; Northern Star says it received it on September 14. Both filings use the September 11 closing price as the benchmark before the approach. The A$27.00 figure included A$19.75 worth of Gold Fields shares and A$7.25 cash.

Because Gold Fields trades in South African rand while the proposal value is stated in Australian dollars, the currency conversion also matters. Revalued using Gold Fields’ September 25 close, Northern Star reported an implied A$25.19 per share and A$36.1 billion in equity value. The exchange ratio and cash component had not changed; the market value of the stock portion had.

Reuters reported that Northern Star shares peaked at A$24.46 early on Monday, September 28, then closed 6.2% higher at A$23.47—below the A$25.19 September 25 mark-to-market reference. That day’s movement is a market snapshot, not a verdict on fair value or evidence that a transaction will happen.

Why did Northern Star reject it?

Northern Star’s board said the proposal materially undervalued the company and did not reflect its assets or growth profile. It also objected to the size of the Gold Fields share component, which would have left Northern Star shareholders exposed to the combined company’s jurisdictional and operating risks. Those are the target board’s stated reasons, not an independent valuation verdict.

Gold Fields made the opposite case. In its September 28 response, it described the companies’ Australian operations as complementary and estimated US$4–5 billion of potential synergies. It pointed to nearby mines and processing infrastructure as a way to lower haulage and processing costs. But that synergy estimate is Gold Fields’ preliminary, forward-looking claim: the company said it was based on public information, without due diligence, and would require further technical and operational work.

The two positions are not just a disagreement over one number. Northern Star is asking shareholders to weigh its standalone assets and operating plans against a proposal whose value changes with Gold Fields’ stock price and whose claimed savings are not yet realized.

Related Companies

  • Northern Star Resources (ASX: NST) is the target and an operating gold producer in Australia and Alaska. Its standalone production, costs, mine plans, reserves and the Fimiston Mill commissioning and ramp-up are relevant to the value it says the proposal missed. Its September 28 announcement records the terms, conditions and unanimous rejection.
  • Gold Fields (JSE: GFI; NYSE-listed ADS: GFI) is the bidder and a global gold producer. If a transaction were ever agreed, new share issuance, the cash component, financing, integration and realized operating savings would matter to its shareholders. For now, its stated US$4–5 billion synergy estimate remains a projection, not reported earnings. Its contemplated ASX secondary listing for new shares was conditional on approval, not already in place.

Investment Watchpoints

For a reader following this story as an investor, I would keep the checklist narrow. First, look for an official revised proposal or a change in either board’s position; press speculation alone does not make a deal. Second, any comparison of the proposal value needs its share-price reference date and currency conversion, because the stock portion is substantial. Third, watch Northern Star’s operating delivery—especially the Fimiston Mill ramp-up—alongside costs and production, rather than treating an unsolicited approach as proof of standalone value.

For Gold Fields, the questions are whether it returns with different terms, how any share issuance and cash funding would be handled, and whether the operating case can be supported with due diligence. Even if discussions resume, regulatory approvals, shareholder votes, conditions and execution would remain. Gold Fields itself said there was no certainty of further engagement or a completed transaction. This is a news and company-context explainer, not a buy or sell recommendation.

Appendix: Equity value is not an all-cash price

The A$38.7 billion headline is an implied equity value: roughly A$27 per Northern Star share multiplied by the company’s fully diluted share count. It is not the amount of cash Gold Fields offered; the default package included new Gold Fields shares and A$7.25 cash per NST share. It is also not enterprise value, which would account for debt and cash as well as equity. The later A$36.1 billion figure uses the same share-count basis with the revised A$25.19 per-share estimate.

Appendix.

NVIDIA’s $150 Billion Buyback: What an Authorization Actually Means

Previous Tech(EN) post: Speculative Decoding: Faster AI Tokens, or a New Memory Trade-Off?

A $150 billion buyback headline is large enough to make almost every investor stop scrolling.

But the first number to understand is not the headline amount. It is the difference between an authorization and an actual share purchase.

NVIDIA has given itself more room to return cash through repurchases. That does not mean $150 billion of stock was bought on the day of the announcement.

The more useful question is what has to happen next for the authorization to change the number of shares investors actually own a claim on.

Key Takeaways

  • NVIDIA announced an additional $150 billion share-repurchase authorization on September 28, 2026, bringing the remaining authorization to $235 billion.
  • An authorization is board permission to buy shares; it is not the same as completed purchases, a fixed schedule, or a guaranteed stock-price floor.
  • The per-share effect depends on execution price, the pace of actual repurchases, shares issued through compensation or other programs, future earnings, and cash needs.
  • Gross repurchase dollars can offset dilution rather than materially shrink the diluted share count. Both figures matter.
  • The announcement is a capital-allocation event. It does not by itself answer how AI infrastructure demand, product investment, or customer spending will develop.
Three-stage share-buyback schematic: board authorization sets spending capacity, actual purchases determine execution, and issuance can offset reductions in outstanding shares.
A buyback authorization is spending capacity. Actual purchases and share issuance determine the net share-count effect; full execution is not guaranteed.

Original editorial schematic based on NVIDIA's SEC disclosures. No company logo, third-party image or financial chart is reproduced.

What NVIDIA Announced

On September 28, 2026, NVIDIA announced that its board had authorized an additional $150 billion for share repurchases. The company said the remaining authorized amount was $235 billion and that it expects to execute the remaining program through fiscal 2028.

Those are the issuer’s stated facts. The interpretation begins after that.

A buyback authorization gives management the ability to purchase shares over time, subject to its own capital-allocation decisions and applicable rules. It is not a promise that every authorized dollar will be spent, and it does not say that the purchases will occur at a particular share price or on a particular day.

That distinction can sound technical, but it changes how the news should be read. A company may announce a very large authorization and execute it gradually, adjust the pace as business conditions change, or leave part of the authorization unused.

For a historical comparison of nominal authorization size only, Apple said on May 2, 2024 that its board authorized an additional $110 billion for repurchases. Apple is not a party to, beneficiary of, or business-linked to NVIDIA’s September 2026 action; the comparison is not evidence about execution, valuation, operating performance, or shareholder outcomes at either company.

NVIDIA’s latest available Form 10-Q illustrates why the distinction is useful. Before this September 28 action, the company reported repurchasing 94 million shares for $19.7 billion in the quarter ended July 26, 2026, and 203 million shares for $39.8 billion in the first half. It also reported $99.3 billion remaining under the prior authorization as of July 26. Those are historical execution figures, not a schedule for the newly enlarged program.

Authorization, Execution, and What Shareholders Actually Receive

There are three separate moments in a repurchase story: authorization, execution, and the eventual effect on the share count.

Authorization is permission. The board approves a maximum amount that management may use for repurchases. It tells investors that repurchases are an available use of capital, but it is not cash already returned.

Execution is the actual purchase of shares. This is where cash leaves the company and the company acquires stock in the market or through another permitted method. The timing and price of execution matter because the same dollar amount buys a different number of shares at different prices.

Share-count effect is what remains after the company’s other equity activity. A repurchase can reduce outstanding shares, but stock-based compensation, employee equity programs, option exercises, and other issuances can add shares back into the picture. That is why gross buyback spending and net diluted-share reduction are not the same measure.

For a shareholder who does not sell, a buyback does not put cash directly into the account in the way a dividend does. Its potential benefit is indirect: if shares outstanding fall and the business performs as expected, each remaining share can represent a larger claim on the company. That outcome still depends on price paid, dilution, earnings, and the underlying business.

Why Diluted Share Count Deserves Its Own Line

It is tempting to divide a giant authorization by the current stock price and call the result “shares retired.” Real life is more complicated.

First, the execution price can vary widely over an authorization that runs for multiple years. Second, a company may issue shares while it buys shares. Third, reported diluted share count is an accounting measure influenced by the company’s capital structure and the period being measured.

A simple way to frame the issue is this: net change in the diluted share base reflects shares repurchased minus shares added through dilution and other issuance, with reporting mechanics layered on top. A large authorization can therefore be meaningful even if its early effect is primarily to offset dilution rather than sharply reduce total shares.

That is not a criticism of buybacks. Offsetting dilution can be a deliberate capital-management objective. It simply means the reader should look beyond the authorization headline and follow the actual repurchase disclosures and diluted-share trend over time.

The AI Infrastructure Context Is Separate

NVIDIA is closely associated with the AI infrastructure buildout, so a large buyback naturally invites a second question: does returning more cash mean the company has fewer investment needs?

The announcement itself does not support that conclusion. A repurchase authorization says something about capital-allocation flexibility; it does not state that research, supply-chain work, product development, networking, software, or customer-support investment is becoming less important.

NVIDIA’s second-quarter fiscal 2027 results reported $96.2 billion of revenue, including $89.0 billion in Data Center revenue. Those are reported operating results, not revenue created by the buyback. They simply show why operating performance and capital allocation need to be read on separate lines.

Keeping those two stories separate is helpful. Operating demand answers whether customers want products and services. Capital allocation answers what a company does with cash after weighing investment, working capital, acquisitions, debt, and shareholder returns. They can influence one another over time, but they are not the same event.

The Listed Business Behind the Announcement

NVIDIA (Nasdaq: NVDA) is the issuer of the authorization, so the direct questions are its execution pace, cash position, investment needs, and share-count trend. The buyback release does not provide a forecast for revenue, customer orders, margins, or future share price. Those remain operating and market questions that need separate evidence.

It is also important not to invent a beneficiary list from this event. The repurchase release does not establish new orders for a memory, foundry, server, cloud, networking, or power supplier. It is a corporate-finance decision by NVIDIA; supply-chain and customer outcomes require their own disclosures.

What to Watch Next

The authorization is now a starting point, not the finish line. These are the follow-up items I would keep separate when reading future filings and company updates.

  • Actual repurchases: How much cash was used to buy shares during the reporting period, and at what average cost if disclosed?
  • Diluted shares: Is the weighted-average diluted share count declining, stable, or rising after compensation-related issuance?
  • Cash priorities: What does the company say about investment, inventory, supplier commitments, acquisitions, debt, and other uses of cash?
  • Operating evidence: What do product, customer, supply-chain, and financial disclosures say about the underlying business independently of the buyback?
  • Execution horizon: Does the pace of repurchases track the company’s stated fiscal-2028 time frame, or does management change its approach?

Risks in Reading a Buyback Headline

Buybacks can be useful, but they are not a guaranteed return mechanism. Shares bought at a higher price may reduce the number of shares acquired for a given dollar amount. Business conditions can change before the authorization is used. A company may need cash for priorities that were not obvious at the time of the announcement.

There is also a basic valuation risk: reducing the share count does not by itself create operating growth. Per-share metrics can improve even while investors are still deciding what the business is worth. That is why a buyback should be read alongside earnings quality, investment needs, competitive position, and the terms of the actual repurchases.

This article is for general company and market context, not a recommendation to buy or sell any security.

Appendix: A Short Buyback Vocabulary

Authorization: the maximum amount a board permits a company to use for repurchases. It is permission, not a completed transaction.

Repurchase: an actual purchase of the company’s own shares using corporate cash.

Dilution: an increase in shares or potential shares that can reduce each existing share’s proportional claim. It can arise from equity compensation and other sources.

Diluted share count: a reporting measure that helps investors assess per-share results after considering potentially dilutive securities under the applicable accounting rules.

Meta Platforms, NASDAQ: META

MongoDB, NASDAQ: MDB

Appendix.

Speculative Decoding: Faster AI Tokens, or a New Memory Trade-Off?

I keep seeing AI inference described as if the only job is to make the next token arrive faster.

But a large language model normally advances one token at a time, revisiting its weights and working with its growing KV state at every target-model step.

Speculative decoding asks a clever question: what if a smaller model writes several likely next tokens first, and the larger model checks them together?

If several guesses survive, one expensive target-model pass has done the work of several serial steps. If they do not, the extra draft work and memory can become part of the bill. Which side wins?

Key Takeaways

  • Speculative decoding lets a smaller drafter propose several output tokens before a larger target model verifies them in parallel.
  • The potential gain comes from accepting more useful tokens per target-model iteration, not from making target weights or KV state unnecessary.
  • Acceptance length, draft overhead, context length, batch size, and resident-memory pressure determine whether the method helps.
  • Exact speculative sampling preserves the target distribution only under the required acceptance, rejection, and correction rules; it does not mean two random runs will always display the same text.
  • Interactive chat latency and fleet-level throughput are different optimization goals. A good result for one does not automatically establish a good result for the other.

The Serial Work That Speculation Tries to Rearrange

Autoregressive decoding is naturally serial. The target model produces one token, adds that token to the context, and then runs again to produce the next one. Each step uses the model’s weights and the active KV state built from the prior context.

At a low effective batch size, this repeated target execution can be constrained by memory movement and launch overhead as much as by raw arithmetic. The model may have plenty of calculations to do, yet it still has to repeatedly bring the right weights into use and access the state needed for attention.

Speculative decoding does not remove those target-model resources. It tries to make each target pass accomplish more. A smaller draft model proposes D possible next tokens. The target then evaluates that candidate sequence together, accepting proposals in order until it finds a mismatch.

NVIDIA calls the resulting number of output tokens per target iteration the acceptance length, or AL. With D proposed tokens, AL can range from 1 to D+1. The higher the useful acceptance length, the more serial target steps the system may avoid.

The key word is “may.” The drafter must generate candidates, the target must verify them, and the system must hold the weights and state needed for both sides. Speculation changes the shape of the work; it does not make inference free.

One Simple Verification Flow

A simple example makes the mechanism easier to see. Suppose the draft model proposes four tokens after a prompt: A, B, C, and D.

  1. The draft model produces A, B, C, and D sequentially.
  2. The target model verifies that proposed sequence in a larger pass.
  3. If the target agrees with A, B, and C but disagrees at D, the system accepts the first three candidates and uses the target’s result at the mismatch.
  4. The next round begins from that accepted prefix.

In that example, one verification pass produced several usable output tokens. But if the target disagrees immediately, the draft effort may deliver little benefit. This is why acceptance length matters more than the marketing-friendly idea that the system “guesses ahead.”

NVIDIA’s September 2, 2026 technical explainer on speculative decoding describes this trade-off directly: draft length should be chosen together with acceptance length and draft overhead. Increasing the number of candidates is not automatically faster, especially after verification becomes compute-bound or when longer verification adds attention and memory pressure.

“Same Output” Needs a Decoding-Mode Footnote

One of the most common shortcuts in this topic is saying that speculative decoding gives “the same output, only faster.” That can be true in a carefully defined sense, but the definition matters.

For stochastic generation, the original speculative decoding paper by Leviathan, Kalman, and Matias presents an exact sampling method. When its proposal distribution, acceptance and rejection rules, and correction sampling are applied correctly, it preserves the target model’s output distribution.

Distribution-preserving does not mean two random generations will always print the identical sentence. Random sampling can produce different valid draws from the same target distribution, whether speculation is used or not.

Greedy decoding is a different case. A deterministic verifier can keep only the tokens confirmed by the target and fall back to the target at the first mismatch. Under the same tokenizer, logit processing, tie-breaking, and acceptance rule, that can preserve the standard greedy sequence.

Approximate variants require another level of care. If a method relaxes acceptance, changes the model, or changes the routing behavior, it should be measured for quality and output behavior rather than described as exact distribution-preserving decoding.

Why the Draft Model Is Not Free

The draft model has to come from somewhere. An external drafter brings separate weights and a full KV cache of its own. Target-attached approaches, such as draft heads, can change that footprint, but they still add weights, hidden-state handling, or a smaller cache requirement.

That makes memory capacity part of the choice. A serving stack needs room for target weights, target KV cache, draft resources, candidate verification, and concurrent requests. Long contexts can make the KV portion more prominent; a high number of simultaneous users can turn modest per-request overhead into a system-level constraint.

There is also a workload question. A short, interactive request with a small batch may benefit from fewer serial target iterations. A high-concurrency fleet may already use batching to keep the target busy. In that setting, extra verification, draft computation, communication, and attention work can move the optimal point.

In other words, a faster chat response and a higher fleet token throughput are not the same claim. Both should be measured at a stated model, precision, context length, batch size, hardware topology, and latency objective.

Memory Bandwidth Still Matters—Just Differently

Speculative decoding is sometimes described as a way around the memory wall. I think of it more as a way to get more useful output from a costly target-model pass when conditions are favorable.

Where serial decode is memory-bound, verifying multiple candidates can raise the amount of useful work done per target iteration. That may improve arithmetic intensity. But a longer draft can also add target verification work, drafter work, candidate-related state, and pressure on KV capacity.

The result depends on acceptance. If proposed tokens are often accepted, the target pass is spread across more delivered tokens. If rejections arrive early, the draft’s sequential work becomes overhead. If context is long or available memory is tight, the extra state can change the balance again.

That is why it is too simple to conclude that speculation lowers HBM demand. It may improve utilization at one serving point, while total memory need still depends on the target, the drafter, concurrency, context, and the overall amount of AI work customers choose to run.

Related Companies: System Exposure Is Not a Supply Claim

NVIDIA (Nasdaq: NVDA) has direct software and accelerator exposure to this conversation. Its TensorRT-LLM materials list speculative decoding, quantization, paged KV caching, and other inference optimizations for NVIDIA GPUs. That makes runtime efficiency and accelerator utilization relevant platform variables. It does not show that a named customer uses a particular speculative method, or that the feature determines GPU revenue in one direction.

AMD (Nasdaq: AMD) is relevant through the accelerator-memory system. Its Instinct MI350 Series page, checked September 28, 2026, lists up to 288 GB of HBM3E and up to 8 TB/s of peak theoretical memory bandwidth per GPU. Those specifications are inputs to a target-and-draft memory design; they are not application-throughput evidence or proof that the cited research has run on MI350.

Micron (Nasdaq: MU) participates across memory and storage tiers. Its June 24, 2026 fiscal Q3 release discusses HBM4 shipments, PCIe Gen6 SSD production, and its DRAM, NAND, and storage portfolio. HBM, server DRAM, and enterprise SSDs can each have different roles in an AI system. That product exposure does not establish that an SSD replaces HBM for target decoding, that Micron supplied a research system, or that speculative decoding has a known revenue contribution.

The longer business path is worth preserving: technical feature, benchmark, customer qualification, deployment, shipment, product mix, and margin are separate events. A single algorithm article cannot collapse them into one conclusion.

Investment Watchpoints

For readers following AI infrastructure, I would put these questions next to any speculative-decoding performance claim.

  • Acceptance-length distribution: What happens across real prompts and workloads, not just the headline average?
  • Draft overhead and resident memory: How much capacity goes to target weights, draft weights, target KV, draft KV, and concurrent requests together?
  • Interactive latency versus fleet throughput: Are p50, p95, and p99 token latency reported separately from aggregate tokens per second and cost per token?
  • Achieved rather than peak hardware performance: What do bandwidth, interconnect utilization, attention time, and queueing look like in the actual system?
  • Quality and re-tuning: Does the target update require the drafter to be adapted again, and does quality remain acceptable under the intended decoding rule?
  • Commercial evidence: Are qualification, deployment, shipment, product-mix, or filing disclosures available beyond a technical feature page or benchmark?

The important caveat is that efficiency can pull demand in both directions. A service may need less infrastructure per request, then attract more usage or support a larger workload. The net effect on accelerators or memory cannot be inferred from a speedup claim alone.

This article is for industry context and does not recommend buying or selling any security.

Appendix: Where Speculative Decoding Fits Best

Speculation is easiest to understand in an interactive assistant where each new token matters and the target model would otherwise advance one serial step at a time. A useful drafter repeatedly proposes tokens the target would accept, allowing the target to validate more than one useful token in a pass.

It is less a magic speed button than a co-design choice. The right draft method and length depend on the target model, output style, context size, batch level, hardware, and the service’s definition of success. The real puzzle is not whether the system can speculate; it is whether its guesses are accepted often enough to justify everything required to make them.
